1. Who these terms apply to

1.1 We sell to business customers only. By accepting a quote you confirm that you are buying for the purposes of your business, trade or profession, and not as a consumer.

1.2 "You" means the business named in the quote. If you accept for a business, you confirm that you have authority to bind it.

1.3 These terms and your written quote make up the contract between us (the "contract"). They replace any terms in your purchase order or other documents, unless we agree otherwise in writing. The terms in force on the date of a quote apply to that quote.

1.4 In these terms, "goods" means the phone booths, pods and accessories listed in your quote. "Installation" means assembly and fitting at your site by the manufacturer's team. A "working day" is a day other than a Saturday, a Sunday or a public holiday in England.

2. Quotes and acceptance

2.1 A quote describes the goods and installation, the price, and the date until which it is valid. It is our offer, open for acceptance until that date. After that date it lapses, unless we confirm in writing that it still applies.

2.2 You accept a quote by confirming in writing, which can be by email, that you accept it. The contract starts when we receive your acceptance within the validity period.

2.3 After you accept, we send you a pro-forma invoice. Clause 3 explains when we place the order with the manufacturer.

2.4 You must give us accurate information about your site, including the delivery address, access, power and timing. If the information turns out to be wrong in a way that changes the work or the price, we may revise the quote. If you do not accept the revised quote, you may cancel, and if we have not yet placed the manufacturer order we refund everything you have paid.

2.5 Any change to the goods, quantity or site details after you accept must be agreed in writing. It may change the price and the lead time.

2.6 Descriptions and images on our website are illustrative. The specification in your quote is the specification that applies.

3. Prices and payment

3.1 Prices are in pounds sterling. The price is the figure in your quote. The quote shows what the price includes, including delivery and installation, and any extra charges that apply.

3.2 No VAT is charged: we are not VAT-registered. The quote states the VAT position that applies to your order.

3.3 You pay 100% of the price by bank transfer before we place the order with the manufacturer. The pro-forma invoice gives our bank details and a payment reference, which you should quote. We place the order only when cleared funds for the full amount are in our account. We do not accept cash.

3.4 If we have not received payment within 7 days of sending the pro-forma invoice, we may cancel the contract by notice to you. We will not have placed an order with the manufacturer by then, so neither of us owes the other anything.

3.5 Only pay into the bank account shown on our pro-forma invoice. If anyone gives you different bank details, do not pay. Email us at sonnyramsay88@gmail.com first.

3.6 Once you have accepted a quote and paid on time, we will not increase the price unless you ask for a change to the order or clause 2.4 applies.

4. Delivery and installation

4.1 The manufacturer's team delivers and installs the goods at the address in your quote, on our behalf. We remain responsible to you for the delivery and installation.

4.2 Lead times and delivery dates are estimates, given in good faith. A lead time runs from the day we place the order with the manufacturer, not from the day you accept. We will tell you promptly if a date changes and agree a new date with you. Time for delivery is not of the essence. This does not affect any right you have under the general law if a delay becomes serious. If delivery is more than 8 weeks after the estimated date (other than because of your delay or clause 10), you may cancel by written notice and we will refund everything you have paid within 14 days of your notice.

4.3 Delivery happens when the goods arrive at the delivery address. Installation is complete when the manufacturer's team has assembled the goods and handed them over to you.

4.4 You must give us a site contact who can be reached on the day, and someone must be there to receive the delivery. Tell us promptly if the contact changes.

4.5 You are responsible for making sure that, on the agreed date:

  1. the route from the delivery point to the installation position is clear, and wide enough for the goods and the team's equipment;
  2. a suitable mains power supply is available at the installation position;
  3. the installation position is clear and ready;
  4. vehicle access is arranged, including parking, loading space, lift bookings and building permits where needed; and
  5. you have any consent needed from your landlord, building manager or insurer.

4.6 You are also responsible for checking, with your building manager or a competent fire risk assessor, that installing the goods is acceptable under your building's fire detection, sprinkler and fire-safety arrangements. We do not give fire-safety advice.

4.7 If the site is not ready, nobody is there to receive the delivery, or access is refused, the manufacturer may charge for the wasted visit, storage or redelivery. We will tell you the amount in writing before we charge you, and we pass on only what the manufacturer charges us. Any lead time extends by the delay you cause.

5. Risk and ownership

5.1 The goods are at our risk until installation is complete (or delivery, if we do not install). Risk then passes to you.

5.2 Ownership of the goods passes to you when they have been identified to your order and we have received payment for them in full.

6. Inspection and damage

6.1 When the manufacturer's team has finished, check the goods and the installation with the team. Note any damage, shortage or fault on the delivery or handover paperwork before the team leaves. Photographs help.

6.2 Tell us in writing within 48 hours of the end of the installation about any damage, shortage or fault that you could have seen on a reasonable inspection.

6.3 If you tell us in time, we will arrange repair or replacement through the manufacturer at no extra cost to you. If you do not, we may be unable to claim from the manufacturer, and we may treat the goods as delivered free from visible damage.

6.4 This clause does not affect faults that you could not reasonably have seen on inspection. Clause 7 covers those.

7. Warranty and faults

7.1 Where the manufacturer gives a warranty on the goods, we pass it through to you on the manufacturer's terms. The period and terms for your model are set by the manufacturer. Ask us before you accept a quote and we will send them to you.

7.2 To make a claim, email sonnyramsay88@gmail.com with your order reference, a description of the fault and photographs. We pass the claim to the manufacturer, arrange any inspection or repair, and keep you updated. You do not need to contact the manufacturer yourself. Please give the manufacturer's team access to the goods.

7.3 The manufacturer's warranty does not usually cover damage caused by misuse, accidents, unauthorised changes or repairs, moving the goods other than by the manufacturer's team, or fair wear and tear. The manufacturer's terms give the full detail.

7.4 The warranty is in addition to your legal rights against us, not instead of them.

8. Cancellation and refunds

8.1 Before we place the manufacturer order. You may cancel at any time by written notice. We refund everything you have paid, in full, within 5 working days. We will tell you when we place the order with the manufacturer.

8.2 After we place the manufacturer order. You may still cancel by written notice, but the manufacturer's cancellation charges, if any, are passed on to you. We will get the amount from the manufacturer in writing and tell you before we deduct anything. We refund the rest within 5 working days of the manufacturer confirming the charge to us in writing.

8.3 If we cannot supply the goods, for example because the manufacturer withdraws the model, we will tell you promptly. We will refund everything you have paid within 5 working days, or offer an equivalent product that you may accept or decline.

8.4 We make refunds by bank transfer to the account the payment came from, unless we agree otherwise.

8.5 Because you are buying as a business, the 14-day cancellation right that applies to consumers does not apply. The cancellation rights in this clause are contractual.

9. Our liability

9.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

9.2 Subject to clause 9.1, we are not liable to you for loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss, whether in contract, tort (including negligence), breach of statutory duty or otherwise.

9.3 Subject to clause 9.1, our total liability to you for all claims arising from an order is limited to the price you paid for that order.

9.4 We recommend that you check that your own insurance covers the goods once risk passes to you, and any loss of income that you want covered.

10. Events outside our control

10.1 We are not in breach of the contract, and are not liable for delay or failure to perform, if it is caused by an event outside our reasonable control. That includes events affecting the manufacturer, such as fire, flood, severe weather, epidemic, war, terrorism, civil disorder, government action, or failure of power, transport or telecommunications networks.

10.2 We will tell you as soon as we can and take reasonable steps to limit the effect.

10.3 If the event lasts for more than eight weeks, either of us may cancel the affected order by written notice. We refund what you have paid for the affected goods, less any manufacturer cancellation charges that apply under clause 8.2.

11. Personal data

11.1 We handle personal data as set out in our privacy notice.

11.2 If you give us personal data about your staff or site contacts, for example a site contact's name and phone number, you must be entitled to share it with us and with the manufacturer's team so that delivery and installation can happen.

12. General

12.1 These terms and your quote are the whole agreement between us about the goods and installation. Each of us confirms that we have not relied on any statement that is not in them. This does not limit liability for fraud.

12.2 A change to the contract is effective only if it is in writing and agreed by both of us.

12.3 We may use the manufacturer's team and other subcontractors to carry out our obligations. You may not transfer your rights or obligations under the contract without our written consent.

12.4 Notices must be in writing and sent by email to the address on the quote, or to us at sonnyramsay88@gmail.com.

12.5 Only you and we have rights under the contract. Nobody else can enforce it under the Contracts (Rights of Third Parties) Act 1999.

12.6 If any part of these terms is found to be unenforceable, the rest continues to apply. If we delay in enforcing a right, we still have it.

12.7 If you are unhappy with anything, email sonnyramsay88@gmail.com with your order reference. We will acknowledge your message promptly and try to settle the matter in good faith before either of us starts proceedings.

12.8 These terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
